This User Agreement (“Agreement”) governs the relationship between CarryLane (“CarryLane”, the “Platform”, “we”, “us” or “our”) and each registered user (the “User”, “you” or “your”) who creates an account, accesses the Platform, uses CarryLane algorithms and strategies or wallet features, participates in rewards programmes or interacts with any CarryLane services.
By creating an account, accessing the personal dashboard, activating a strategy, depositing funds, using Platform features or participating in any CarryLane programme, the User confirms that they have read, understood and accepted this Agreement.

- deposits and withdrawals
- account balances and transaction history
- personal-dashboard analytics and performance monitoring
- referral and partner programmes
- rank progression and achievement bonuses
- support, access recovery and security tools.
This Agreement should be read together with the Terms of Use, Risk Disclosure, Privacy Policy, AML/KYC Policy, Refund Policy and other CarryLane legal documents published on the Platform.
2. Eligibility
To use CarryLane, the User must:
- be at least 18 years old or have reached the age of majority in their jurisdiction
- have full legal capacity to enter into this Agreement
- use the Platform only for lawful purposes
- comply with all applicable laws and regulations of their country
- not be located in a restricted or sanctioned jurisdiction or act on its behalf
- not be prohibited from using cryptocurrency-related or automated-investment services.
CarryLane may refuse registration, restrict account access or terminate accounts where eligibility requirements are not met.
3. Creating an account
To create an account, the User must provide an email address and password.
The User agrees to provide accurate information and keep their account credentials secure. The User is responsible for all actions taken through their account, whether or not they authorised them.
The User must not:
- create accounts using false or misleading information
- create multiple accounts to abuse rewards, bonuses, referrals or promotions
- sell, transfer, rent out or provide access to their account
- allow unauthorised persons to access their account.
CarryLane may suspend or terminate accounts involved in abuse, fraud or breach of this Agreement.
4. Account security
The User is responsible for keeping their account secure.
CarryLane may provide security tools including:
- two-factor authentication
- a payment password
- a withdrawal-address whitelist
- login and device monitoring
- account-activity alerts
- optional KYC verification
- a 12-word recovery phrase.
The User is responsible for securely storing login credentials, the recovery phrase, the payment password and security tools.
CarryLane is not responsible for losses caused by weak passwords, phishing, compromised devices, disclosure of credentials, loss of recovery information or failure to use available security features.
5. Account recovery
If the User loses access to their account, CarryLane may permit recovery through:
- email-based recovery
- security checks
- verification of a 12-word recovery phrase
- optional KYC verification
- additional verification of account ownership.
KYC verification is not mandatory by default but may be used to restore access if the User has lost all login credentials.
If recovery information is unavailable, incorrect or insufficient, CarryLane may refuse to restore access to protect account security.
6. Balance on the Platform
The User's account balance represents funds credited to an internal CarryLane account after successful deposits, internal transfers, strategy accruals or other Platform operations.
An available balance may be used to:
- activate an automated strategy
- withdraw funds
- participate in available Platform features
- manage internal account activity.
Funds allocated to an active strategy may be unavailable for withdrawal until its term ends, it stops under Platform rules or the funds are returned to the balance.
7. Deposits
The User may deposit supported digital assets using payment methods and blockchain networks available on the Platform.
The User is responsible for ensuring that:
- the correct asset is used
- the correct network is selected
- the wallet address is accurate
- the deposit meets minimum requirements
- a memo, tag or other additional payment details are supplied where necessary.
CarryLane is not responsible for losses caused by incorrect wallet addresses, unsupported networks or assets, missing memo or tag details, blockchain failures or User error.
8. Withdrawals
The User may request a withdrawal from their available balance.
Withdrawals are processed in approximately 1–3 minutes when all Platform, security, account and network conditions are met. A newly added withdrawal address is subject to a 24-hour security hold for each currency before its first use.
For a withdrawal to an external address, CarryLane deducts a fee determined by the investor rank held when the request is submitted: from 3% of the requested amount at the entry-level Spot rank to 0% at CarryLane Prime. The fee is deducted from the withdrawal amount. The applicable rate, fee amount and amount to be received are displayed to the User before confirmation. If a separate blockchain network fee is charged, its amount is also displayed before confirmation; CarryLane may cover it in full on certain networks.
Withdrawals may nevertheless be delayed, restricted or referred for review in cases involving:
- suspicious activity
- account security concerns
- incorrect withdrawal details
- blockchain network unavailability
- compliance or AML review
- technical failures
- force majeure.
Once a withdrawal has been transmitted to a blockchain network, it may be irreversible.
9. Activating an automated trading strategy
CarryLane allows Users to activate automated trading strategies subject to availability, account balance, the selected strategy's terms and Platform rules.
Upon activation:
- the selected amount is allocated to the strategy
- the strategy begins operating automatically according to predetermined logic
- funds allocated to the strategy become unavailable for ordinary withdrawal
- results and status can be monitored in the personal dashboard
- accruals may be credited in accordance with the strategy's terms.
By activating a strategy, the User confirms that they understand its terms, duration, operating logic and applicable Platform rules.
10. Strategy operation and profit accrual
Activated strategies operate automatically according to their internal logic.
Profit is accrued every 24 hours from the time of strategy activation, subject to its applicable terms and Platform operations.
CarryLane strategies are designed to operate when the market provides sufficient volatility. Profit depends not only on the direction of cryptocurrency prices but also on market volatility and the strategy algorithm's ability to use that volatility.
If the strategy algorithm determines that profitability cannot be maintained over the short, medium or long term, the strategy may stop automatically and the allocated funds may be returned to the User's balance.
11. Manual cancellation and strategy changes
Users cannot manually stop an activated strategy unless the Platform expressly provides that option.
A strategy may stop automatically because of insufficient volatility, adverse market conditions, its internal logic, security considerations or other Platform conditions.
Certain strategy settings may be changed where available. The selected strategy's terms determine whether reinvestment and term extension are available. These options may increase daily yield in accordance with Platform rules.
The Platform may limit how many strategies of a particular type one User may have active at the same time. The current limit is shown on the strategy activation page and may be changed by the Platform.
12. Reinvestment and term extension
Reinvestment directs profit back into an active strategy instead of crediting it to the User's balance. Available modes and the portion that can be reinvested are determined by the selected strategy's terms.
The reinvested portion may be changed in the manner permitted by the active strategy's terms. The portion in effect at each daily accrual determines how that day's profit is divided between the strategy and the User's balance.
Where the strategy's terms permit an extension, it may allow the strategy to continue for longer under updated terms. The existing reinvestment setting carries over to the extended term without change.
Both features may affect daily yield, the strategy's duration, projected yield and final yield.
Users must read the reinvestment and extension terms before activation.
13. No financial advice
CarryLane provides automated tools, Platform features and informational materials.
CarryLane does not provide:
- financial advice
- investment advice
- trading advice
- tax advice
- legal advice
- personalised portfolio recommendations.
The User alone is responsible for deciding whether CarryLane services suit their circumstances.
14. User acknowledgement of risks
By using CarryLane, the User acknowledges that digital assets, automated crypto portfolios, algorithmic strategies, blockchain transactions and online financial tools involve risk.
Although CarryLane may use automated strategy-management tools, monitoring systems and risk-management logic, no system can eliminate all risks.
The User should use only funds that they are willing and able to risk.
More detailed information about the risks appears in CarryLane's Risk Disclosure.
15. Referral programme
CarryLane may offer a referral or partner programme.
When Users invited by the User activate an automated trading strategy, the User may receive referral rewards depending on their level, rank and network structure. The initial reward for each activated strategy is 7%.
Referral rewards may depend on:
- referral level
- User rank
- available referral-network depth
- volume of activated strategies
- weighted turnover
- partner activity
- Platform rules.
CarryLane may change referral terms, rank requirements, rates, bonuses and reward rules at any time.
Rewards may be withheld, adjusted or cancelled in cases of fraud, abuse, self-referrals, multiple accounts, artificial turnover, misleading promotion or breach of this Agreement.
16. Partner ranks and bonuses
Partner ranks are based on the network's total qualifying turnover and other conditions set by the Platform.
As their partner structure grows, the User may unlock higher ranks, additional referral levels, higher referral rates, one-off cash bonuses or other benefits.
Rank bonuses are governed by Platform rules and may be cancelled, withheld or adjusted if obtained through prohibited activity or a technical error.
CarryLane reserves the right to update rank names, turnover requirements, bonuses and eligibility conditions.
17. Prohibited User conduct
The User agrees not to:
- use CarryLane for unlawful purposes
- breach any applicable law or regulation
- create multiple accounts for abuse
- use false identities or misleading information
- create artificial turnover
- manipulate ranks or referral structures
- use unauthorised programmes, scripts, automation tools or exploits
- interfere with Platform security or infrastructure
- attempt unauthorised access to accounts, systems or data
- launder funds or facilitate suspicious transactions
- use CarryLane as a mixer, tumbler or transit service for funds
- move funds through CarryLane without a genuine investment purpose
- deposit or withdraw funds belonging to another person or act for an undisclosed third party
- split deposits, withdrawals or accounts to stay below review thresholds
- collude with other Users to obtain referral rewards or ranks that do not reflect genuine activity
- promote CarryLane through false or misleading claims
- misrepresent potential returns or referral earnings.
A breach may result in account restrictions, cancellation of rewards, suspension, account termination or legal action.
18. Platform availability
CarryLane aims to provide stable and reliable access to the Platform but does not guarantee uninterrupted service.
Platform availability may be affected by:
- maintenance
- technical problems
- blockchain congestion
- market volatility
- cybersecurity events
- infrastructure failures
- third-party service outages
- regulatory or compliance requirements
- force majeure.
CarryLane is not responsible for losses caused by downtime, delays, interruptions or system failures.
19. Third-party services
CarryLane may use third-party services including blockchain networks, payment providers, wallet infrastructure, exchange APIs, market-data providers, verification providers, hosting providers and analytics services.
CarryLane is not responsible for the operation, availability, security, delays, failures, policies or actions of third-party services.
20. Intellectual property
All CarryLane content, branding, logos, design, software, text, graphics, interfaces, algorithms, Platform structure and related materials are owned by CarryLane or used by the Operator under licence.
Users must not copy, modify, distribute, reproduce, reverse engineer, sell, exploit or otherwise use CarryLane intellectual property without written permission.
Using the Platform does not transfer ownership of any intellectual property.
21. Messages and notices
CarryLane may send account, security, operational, promotional, legal and service-related notices by email, messages in the personal dashboard, website notices or other available channels.
The User is responsible for maintaining access to their registered email address and reading important Platform notices.
22. Account suspension and termination
CarryLane may suspend, restrict or terminate the User's account if:
- the User breaches this Agreement
- suspicious activity is detected
- verification or review is required
- the account presents a security or compliance risk
- the User abuses rewards, referrals, bonuses or Platform features
- the User's activity resembles money laundering, layering or transit of third-party funds
- the User's account is connected to a suspended or abusive account through a shared device, address, payment route or behaviour
- CarryLane is required to do so by law or internal risk controls.
During suspension, CarryLane may restrict access to withdrawals, rewards, strategy activation, referral features or other account features until the review is complete.
CarryLane may take these measures unilaterally and at its own discretion, including immediately and without prior notice where advance warning would undermine a security, fraud or compliance review. The User is informed after the restriction is applied and may contact CarryLane to provide an explanation.
Referral rewards and rank bonuses that have not yet been credited may be withheld or cancelled if the activity that generated them is prohibited by this Agreement.
Use of CarryLane for money laundering results in permanent account closure.
23. Limitation of liability
To the fullest extent permitted by applicable law, CarryLane is not responsible for:
- loss of funds
- lost profits
- trading losses
- market losses
- service interruptions
- blockchain delays or failures
- third-party service problems
- unauthorised access caused by User negligence
- loss of recovery information
- indirect, incidental, special, punitive or consequential losses.
The User uses CarryLane at their own risk.
24. Changes to this Agreement
CarryLane may update this Agreement from time to time.
Updated versions will be published on the Platform with a new “Last updated” date.
Continued use of CarryLane after an update means that the User accepts the revised Agreement.
If the User does not agree to the revised Agreement, they must stop using the Platform.

This Agreement is governed by and interpreted in accordance with the laws of the State of Wyoming, United States, unless applicable law requires otherwise.
Disputes arising from or relating to this Agreement or the Platform are to be resolved by the competent courts of the State of Wyoming, United States, unless the law requires a different dispute-resolution procedure.
